Proposed Bylaw Changes
The Board of Directors recommends that voting members approve the following addition to the ASHI Bylaws. Please click on this link to view the ASHI Bylaws if you wish more details about how this addition will change the bylaws.
This bylaws addition has been approved by the Board of Directors, by a majority of the Bylaws Committee, and by ASHI legal counsel.
5.1.5 The Board may, by a three-quarters vote, grant exceptions to these qualifications. This provision is intended to be exercised only in extraordinary circumstances.
An unintended consequence of the last bylaws changes is that members who are otherwise qualified and willing to serve on the Board of Directors are being disqualified because of the bylaws requirements. These members are usually younger, and have not been members long enough to qualify under any of the current bylaws requirements.
This proposed bylaws addition allows the Board of Directors to waive the bylaws requirements under extraordinary circumstances. This waiver requires a super-majority of three-quarters of the board to approve the waiver.
A waiver will allow otherwise qualified candidates to be listed on the election ballot for a director or officer position. This bylaws addition will allow more members to run for national office, and will allow members more choices when casting their ballot.
This proposed bylaws addition only allows candidates to appear on the ballot. The voting members will decide who is the best qualified candidate.
