Coming soon: ASHI Members to Vote on New Governance
Duringthe January Board meeting, the ASHI Board of Directors approved two motionsthat will change the way the society is governed. Change can be difficult andcan be more so if there are conflicting viewpoints. Trust in your leadership isnecessary for the society to move forward.
These governance changes are wellthought out, timely and important to meeting the needs of ASHI’s members,chapters and other stakeholders. The new governance model requires severalchanges to the ASHI Bylaws, which will need the approval of our voting members.
Board Size
Youwill be asked to approve changes to the Bylaws that will reduce the size of theBoard from 21 members to 15, and will also change the nomination and selectionprocess of your Board of Directors. The smaller Board will result in afinancial savings.
Directors
Oneof the most powerful changes is that all certified voting members would electthe directors. Furthermore, all certified voting members may serve asdirectors.
NominationProcess
TheNomination Committee that selects future directors will be derived from theBoard of Directors and the Council of Representatives. The officer selectionprocess will be from within the board.
Benefits
TheBoard will be more nimble in its ability to make timely decisions. It will havethe ability to focus directly on the needs of the members. And, the changeswill allow the board to operate in a trusting environment––in a cultureof respect.
Summary
Thereport from the Board’s governance task force and the need to be more flexibleand responsive to the needs of our society led us down this path. Refocusing our governance, changing its makeup, thereby creating a direct connection to the membership is necessary. Thenew selection process is critical to creating a more diverse,strategic-thinking Board.
